Amendments to Articles of Incorporation or Bylaws.
On
and effective April 18, 2007, the Board of Directors of Huntington Bancshares
Incorporated (“Huntington”)
amended Section
1.01 of Huntington's Bylaws to provide that the 2007 annual meeting of
stockholders may be held at such time and on such date during the thirty-one
day
period beginning May 29, 2007 and ending June 28, 2007 as the Board of Directors
shall determine. The Bylaws, as amended and restated, are filed as Exhibit
3(ii).1 hereto.
